Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Business Legal Rating Ltd. ("Company", "we", "us") governing your access to and use of the Business Legal Rating platform and all related services (collectively, the "Service").

By creating an account, completing a company profile, or using any part of the Service, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookie Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Business Legal Rating provides an AI-powered legal preparedness assessment service. The Service allows registered companies to:

• Complete a 40-question legal preparedness questionnaire;
• Receive an AI-generated legal rating on a scale from AAA (highest) to C (lowest);
• Obtain a breakdown of legal risk across six categories: Contracts, Compliance, Intellectual Property, Employment, Data Privacy, and Corporate Governance;
• Download a legal rating certificate;
• Purchase a detailed action plan with specific legal improvement recommendations (paid tier).

The Service is available to businesses and organisations only. You must be at least 18 years of age and have the legal capacity to enter into a binding contract. You must be authorised to submit information on behalf of the company you register. The Service is not available to individuals acting in a personal capacity.

To use the Service, you must create an account and complete a company profile. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised use of your account. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

THE LEGAL RATINGS, SCORES, AND RECOMMENDATIONS PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL ADVICE.

Business Legal Rating is not a law firm and does not provide legal services. The ratings are generated by artificial intelligence based on the information you provide and publicly available data. They reflect a standardised assessment of legal preparedness indicators and should not be relied upon as a substitute for professional legal advice from a qualified solicitor or attorney.

The accuracy of your rating depends entirely on the accuracy and completeness of the information you provide. We make no warranty that ratings are accurate, complete, or suitable for any particular purpose. You should consult a qualified legal professional before making any legal or business decisions based on your rating.

You agree not to:

• Provide false, misleading, or fraudulent information in any assessment;
• Use the Service to assess a company you are not authorised to represent;
• Attempt to reverse-engineer, decompile, or extract the AI rating methodology;
• Use automated tools to scrape, crawl, or extract data from the platform;
• Interfere with or disrupt the platform's infrastructure or security;
• Use the Service for any unlawful purpose or in violation of any applicable law;
• Resell, sublicense, or commercially exploit ratings or reports without our written consent;
• Misrepresent your rating to third parties by altering, fabricating, or selectively presenting results.

Violation of these provisions may result in immediate account termination and potential legal action.

All content on the platform, including but not limited to the rating methodology, software, algorithms, text, graphics, logos, and design, is owned by or licensed to Business Legal Rating Ltd. and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the company information and assessment answers you submit. By submitting this data, you grant us a non-exclusive, worldwide, royalty-free licence to process and use it solely to provide the Service and, in anonymised and aggregated form, to improve our rating methodology.

Your legal rating report and certificate are licensed to you for your own business use. You may share them with third parties (e.g., investors, partners) provided you do not alter or misrepresent the results.

Basic assessments are provided free of charge. Premium features, including the detailed action plan, are available for a one-time fee as displayed on the platform at the time of purchase.

Payments are processed securely by Stripe. By making a payment, you agree to Stripe's terms of service. All fees are displayed inclusive of applicable taxes. Payments are non-refundable once the action plan has been generated and delivered, except where required by applicable consumer protection law.

If you are a consumer in the UK or EU, you have a 14-day right of withdrawal from the date of purchase, unless the digital content has already been delivered with your prior consent and acknowledgement that you lose the right of withdrawal upon delivery.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUSINESS LEGAL RATING LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100 / $100.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

You agree to indemnify, defend, and hold harmless Business Legal Rating Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) any false or misleading information you provide; or (d) your violation of any third-party rights.

You may close your account at any time by contacting us at [email protected]. We will delete your personal data in accordance with our Privacy Policy, subject to legal retention obligations.

We may suspend or terminate your account immediately, without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform or other users. Upon termination, your right to use the Service ceases immediately.

These Terms are governed by and construed in accordance with the laws of England and Wales. For users in the United States, to the extent permitted by law, the laws of England and Wales shall apply, without prejudice to any mandatory consumer protection rights you may have under your local law.

In the event of a dispute, we encourage you to contact us first at [email protected] so we can attempt to resolve the matter informally. If we are unable to resolve the dispute within 30 days, either party may refer the matter to the courts of England and Wales, which shall have exclusive jurisdiction, subject to any mandatory local jurisdiction rights.

For EU consumers, you may also use the European Commission's Online Dispute Resolution platform atec.europa.eu/consumers/odr.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and by posting a notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
